Overview

Welcome to Songai. The terms "we", "us" and "our" refer to Songai Media FZ-LLC ("Songai"). Songai operates this store and website, including all related information, content, features, tools, products and services (the "Services"), powered by Shopify.

These Terms of Service, together with any policies referenced here (collectively, the "Terms"), describe your rights and responsibilities when you use the Services. They include important information about your legal rights and cover areas such as warranty disclaimers and limitations of liability.

By visiting, interacting with or using the Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Services.

These Terms incorporate by reference our Content Generation, Rights, Distribution & Monetisation Terms, which govern ownership, licensing, distribution and monetisation of AI-generated content. In the event of conflict between these Terms and the Content Generation Terms with respect to AI-generated content, the Content Generation Terms control.

Section 1 — Access and Account

By agreeing to these Terms, you represent that you are at least the age of majority in your country, state, or province of residence, and you consent to allow any minor dependents to use the Services on devices you own or manage.

To use the Services, you may need to provide information such as your email address, billing, payment, and shipping information. You represent and warrant that all information you provide is correct, current and complete and that you have all rights necessary to provide it.

You are solely responsible for maintaining the security of your account credentials and for all activity on your account. You may not transfer, sell, assign, or license your account.

Section 2 — Our Products and AI-Generated Content

We have made every effort to provide an accurate representation of our products and services. Colours and product appearance may differ from how they appear on your screen due to your device.

AI-generated content (songs, lyrics, audio recordings, compositions, artwork, and related materials, "Generated Content") is created using artificial intelligence based on the inputs you provide. Generated Content may vary in style, interpretation and quality. We do not warrant that any product, service or Generated Content will meet your expectations or match any depiction in the store.

All product descriptions are subject to change at any time at our sole discretion. We reserve the right to discontinue any product at any time and may limit quantities by person, region or jurisdiction.

Ownership, licensing, distribution (Standard vs Private), and monetisation of Generated Content are governed by our Content Generation, Rights, Distribution & Monetisation Terms.

Section 3 — Orders

When you place an order, you make an offer to purchase. Songai may accept or decline your order at its discretion. Your order is not accepted until we confirm acceptance. We must receive and process your payment before your order is accepted. Please review your order carefully before submitting; we may be unable to accommodate cancellation requests after an order is accepted. If we do not accept, change or cancel an order, we will attempt to notify you using the email, billing address, or phone number provided.

Your purchases are subject to return or refund solely in accordance with our Refund & Return Policy.

You represent and warrant that your purchases are for your own personal or household use and not for commercial resale or export.

Section 4 — Prices and Billing

Prices, discounts and promotions are subject to change without notice. The price charged will be the price in effect at the time the order is placed and shown in your order confirmation email. Prices are displayed in AED (United Arab Emirates Dirhams) and may be displayed in other currencies for convenience. Unless otherwise stated, posted prices do not include taxes, shipping, handling, customs or import charges.

You agree to provide current, complete and accurate purchase, payment and account information. You agree to update this information promptly so we can complete transactions and contact you.

You represent and warrant that (i) the payment information you provide is true, correct, and complete; (ii) you are duly authorised to use the payment instrument; (iii) charges incurred will be honoured by your card issuer or bank; and (iv) you will pay charges at the posted prices, including shipping, handling and applicable taxes.

All sales are final except as set out in the Refund & Return Policy.

Section 5 — Shipping and Delivery

Where physical goods are sold, we are not liable for shipping or delivery delays. All delivery times are estimates only and are not guaranteed. We are not responsible for delays caused by carriers, customs, or events outside our control. Once we transfer goods to the carrier, title and risk of loss pass to you. Section 6 — Intellectual Property

The Services, including all trademarks, brands, text, displays, images, graphics, product reviews, video, audio, and the design, selection and arrangement thereof, are owned by Songai, its affiliates or licensors, and are protected by United Arab Emirates and foreign intellectual property laws.

These Terms permit you to use the Services for personal, non-commercial use only. You must not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any material on the Services without our prior written consent. Except as expressly provided, nothing in these Terms grants any licence under any patent, trademark, copyright, or other intellectual property of Songai, Shopify or any third party.

Songai's names, logos, product and service names, designs, and slogans are trademarks of Songai or its affiliates or licensors. You must not use them without our prior written permission. Shopify's name, logo, product and service names, designs and slogans are trademarks of Shopify. Other names, logos, products and service names are trademarks of their respective owners.

Generated Content is governed by the Content Generation, Rights, Distribution & Monetisation Terms and remains the exclusive property of Songai Media FZ-LLC, subject to the limited licence granted to you under those terms.

Section 7 — Optional Tools

You may be provided with access to third-party tools as part of the Services, which we neither monitor nor control. Such tools are provided "as is" and "as available" without warranties or endorsement. We are not liable for your use of optional third-party tools. Any use is at your own risk and discretion, and you should review the third-party provider's terms.

We may offer new features in the future. Any new features are deemed part of the Services and subject to these Terms.

Section 8 — Third-Party Links

The Services may contain links to websites operated by third parties. We are not responsible for evaluating the content or accuracy of third-party materials or websites. If you access third-party materials, you do so at your own risk. We are not liable for harm or damages arising from your access to third-party sites or your purchase or use of third-party products or services. Direct any complaints, claims or concerns about third-party products or services to the relevant third party.

Section 9 — Relationship with Shopify

Songai is powered by Shopify. Any sales and purchases on the Services are made directly with Songai. By using the Services, you acknowledge that Shopify is not responsible for any aspect of any sale between you and Songai, including any injury, damage, or loss resulting from purchased products and services. You expressly release Shopify and its affiliates from all claims, damages, and liabilities arising from or related to your purchases and transactions with Songai.

Section 10 — Privacy Policy

All personal information we collect through the Services is subject to our Privacy Policy. Some personal information may be subject to Shopify's Privacy Policy. By using the Services, you acknowledge that you have read these privacy policies.

The Services are hosted by Shopify; Shopify collects and processes personal information about your access to and use of the Services. Information you submit will be transmitted to Shopify and third parties that may be located in countries other than where you reside.

Section 11 — Feedback

If you submit ideas, suggestions, feedback, reviews, proposals, plans, or other content ("Feedback"), you grant us a perpetual, worldwide, sublicensable, royalty-free licence to use, reproduce, modify, publish, distribute and display the Feedback in any medium for any purpose, including commercial use.

You represent and warrant that (i) you own or have all necessary rights to the Feedback; (ii) you have disclosed any compensation or incentives received in connection with submitting it; and (iii) the Feedback complies with these Terms. We are under no obligation to keep Feedback confidential, pay compensation, or respond. We may, but are not obliged to, monitor, edit or remove Feedback we determine in our sole discretion to be unlawful, offensive, threatening, libellous, defamatory, pornographic, obscene or otherwise objectionable, or that violates intellectual property rights or these Terms.

You agree your Feedback will not violate any third-party right, will not be libellous, abusive or obscene, and will not contain malware. You may not impersonate others or mislead us as to the origin of any Feedback. You are solely responsible for your Feedback.

Section 12 — Errors, Inaccuracies and Omissions

Information on the Services may occasionally contain typographical errors, inaccuracies or omissions relating to product descriptions, pricing, promotions, offers, shipping charges, transit times, and availability. We reserve the right to correct errors, change information, or cancel orders at any time without prior notice (including after order submission).

Section 13 — Prohibited Uses

You may use the Services for lawful purposes only. You may not access or use the Services, directly or indirectly: (a) for any unlawful or malicious purpose; (b) to violate any international, federal, provincial, state or local laws, rules or regulations; (c) to infringe our intellectual property rights or those of others; (d) to harass, abuse, insult, harm, defame, slander, disparage, intimidate or harm any of our employees or any other person; (e) to transmit false or misleading information; (f) to send, knowingly receive, upload, download, use, or re-use any material not in compliance with these Terms; (g) to transmit advertising or promotional material, including junk mail, chain letters, or spam; (h) to impersonate any person or entity; or (i) to engage in conduct that restricts or inhibits anyone's use or enjoyment of the Services or that may harm Songai, Shopify or other users.

You also agree not to: (a) upload viruses or malicious code; (b) reproduce, duplicate, copy, extract, sell, resell or exploit any portion of the Services; (c) collect or track the personal information of others; (d) spam, phish, pharm, or pretext the Services; (e) use any robot, spider, scraper, data extraction tool, AI agent or automated process to access the Services except as permitted in Section 14; or (f) interfere with, bypass, or circumvent security or authorisation features.

You also agree not to use the Services to create, upload, or generate content that is unlawful, infringing, defamatory, obscene, abusive, or otherwise harmful. We reserve the right to remove content or restrict access where such use is identified.

Section 14 — Agents

14.1 This section ("Agent Terms") applies if you use, allow, enable, or cause the deployment of an Agent to access, use, or interact with any Services. "Agent" means any software or service that takes autonomous or semi-autonomous action on behalf of, or at the instruction of, any person or entity and that can be executed on behalf of or using a person's device, without direct supervision.

14.2 No Agent may access, use, or interact with the Services unless, at all times, it identifies itself and operates in strict accordance with Section 14.4. No Agent may access the Services if we have requested it refrain from doing so.

14.3 We may limit, including by technical measures, whether and how any Agent accesses, uses, or interacts with the Services.

14.4 Agents must: (i) in all HTTP/HTTPS requests, identify that the request is from an Agent and disclose the name of the Agent by including the following in the request's user agent string: Agent/[agent name]; (ii) not conceal or obfuscate that any access is from an Agent, including by mimicking human behaviour or by completing or circumventing CAPTCHAs or measures intended to distinguish computer use from humans; (iii) respond truthfully to any prompt seeking to determine whether interactions are coming from a human or a computer; and (iv) not circumvent or avoid any measure intended to block, limit, modify, or control whether and how Agents interact with the Services.

Section 15 — Suspension and Termination

We may suspend or terminate this agreement or your access to the Services (or any part) in our sole discretion at any time without notice, including where you breach these Terms or misuse the Services. You remain liable for all amounts due up to and including the date of termination.

The following sections survive termination: Intellectual Property, Feedback, Termination, Disclaimer of Warranties, Limitation of Liability, Indemnification, Severability, Waiver and Entire Agreement, Assignment, Governing Law, Privacy Policy, and any other provisions that by their nature should survive.

Section 16 — Disclaimer of Warranties

Information on the Services is for general information purposes only. We do not warrant the accuracy, completeness, or usefulness of this information. Reliance on it is at your own risk.

EXCEPT AS EXPRESSLY STATED BY SONGAI, THE SERVICES AND ALL PRODUCTS OFFERED THROUGH THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT REPRESENTATIONS, WARRANTIES OR CONDITIONS OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING ALL IMPLIED WARRANTIES OR CONDITIONS OF MERCHANTABILITY, MERCHANTABLE QUALITY, FITNESS FOR A PARTICULAR PURPOSE, DURABILITY, TITLE, AND NON-INFRINGEMENT. WE DO NOT GUARANTEE THAT YOUR USE OF THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE OR ERROR-FREE. SOME JURISDICTIONS LIMIT OR DO NOT ALLOW THE DISCLAIMER OF IMPLIED OR OTHER WARRANTIES, SO THE ABOVE DISCLAIMER MAY NOT APPLY TO YOU.

Section 17 — Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO CASE SHALL SONGAI MEDIA FZ-LLC, OUR PARTNERS, DIRECTORS, OFFICERS, EMPLOYEES, AFFILIATES, AGENTS, CONTRACTORS, SERVICE PROVIDERS OR LICENSORS, OR THOSE OF SHOPIFY AND ITS AFFILIATES, BE LIABLE FOR ANY INJURY, LOSS, CLAIM, OR ANY DIRECT, INDIRECT, INCIDENTAL, PUNITIVE, SPECIAL, OR CONSEQUENTIAL DAMAGES OF ANY KIND, INCLUDING WITHOUT LIMITATION LOST PROFITS, LOST REVENUE, LOST SAVINGS, LOSS OF DATA, REPLACEMENT COSTS, OR ANY SIMILAR DAMAGES, WHETHER BASED IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY OR OTHERWISE, ARISING FROM YOUR USE OF THE SERVICES OR ANY PRODUCTS PROCURED USING THE SERVICES, EVEN IF ADVISED OF THEIR POSSIBILITY.

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU FOR THE SPECIFIC TRANSACTION GIVING RISE TO THE CLAIM.

Section 18 — Indemnification

You agree to indemnify, defend and hold harmless Songai, Shopify, and our affiliates, partners, officers, directors, employees, agents, contractors, licensors, and service providers from any losses, damages, liabilities or claims, including reasonable attorneys' fees, payable to any third party arising out of (1) your breach of these Terms or the documents they incorporate by reference; (2) your violation of any law or the rights of a third party; or (3) your access to and use of the Services.

We will notify you of any indemnifiable claim. A failure to promptly notify will not relieve you of obligations unless you are materially prejudiced. We may control the defence and settlement of such claim at your expense, including choice of counsel, but will not settle any claim requiring non-monetary obligations from you without your consent (not to be unreasonably withheld). You will cooperate in the defence of indemnified claims.

Section 19 — Severability

If any provision of these Terms is determined to be unlawful, void or unenforceable, that provision is enforceable to the fullest extent permitted by applicable law, and the unenforceable portion is severed. This does not affect the validity and enforceability of any other provisions.

Section 20 — Waiver; Entire Agreement

Our failure to exercise or enforce any right or provision is not a waiver of that right or provision. These Terms and any policies or operating rules posted by us in connection with the Services constitute the entire agreement and understanding between you and us, superseding any prior or contemporaneous agreements, communications, and proposals (including any prior versions of the Terms). Ambiguities in interpretation will not be construed against the drafting party.

Section 21 — Assignment

You may not delegate, transfer or assign this agreement or any of your rights or obligations under these Terms without our prior written consent; any such attempt is null and void. We may transfer, assign, or delegate these Terms and our rights and obligations without consent or notice to you.

Section 22 — Governing Law and Jurisdiction

These Terms and any separate agreements under which we provide you Services are governed by and construed in accordance with the laws of the United Arab Emirates, including the laws applicable in Ras Al Khaimah and the rules of the RAK Free Trade Zone (RAK FTZ / RAKEZ) where applicable. You and Songai consent to the exclusive jurisdiction of the courts of the United Arab Emirates with competent jurisdiction over Songai's registered office, subject to any mandatory consumer-protection laws applicable in your country of residence.

Headings are for convenience only and do not limit or otherwise affect these Terms.

Section 24 — Changes to Terms of Service

You can review the most current version of these Terms at any time on this page. We reserve the right, at our sole discretion, to update, change, or replace any part of these Terms by posting updates to our website. It is your responsibility to check the website periodically. We will notify you of material changes in accordance with applicable law, and such changes will be effective on the date specified in the notice. Your continued use of the Services following posting of changes constitutes acceptance.
